Welcome to LocalFYI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and LocalFYI, Inc. ("LocalFYI," "we," "us," or "our") governing your access to and use of the LocalFYI website, mobile applications, and all related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

5. Event Information and Third-Party Content

5.1 Event Listings

LocalFYI aggregates event information from various sources to help you discover local events. We strive to provide accurate and up-to-date information, but:

• Event details (dates, times, locations, prices) may change without notice
• We do not guarantee the accuracy, completeness, or reliability of event information
• Events may be cancelled, rescheduled, or modified by organizers
• Ticket availability and pricing are determined by third-party vendors

You should verify event details directly with the venue or event organizer before making plans or purchases.

5.2 Third-Party Links and Services

Our Services may contain links to third-party websites, applications, or services. We are not responsible for:

• The content, accuracy, or practices of third-party sites
• Any transactions you conduct with third parties

5.3 Ticket Purchases

When you purchase tickets through links on our platform, you are transacting directly with third-party ticketing services. LocalFYI is not a party to these transactions and is not responsible for:

• Refunds, exchanges, or cancellations
• The validity or authenticity of tickets
• Any disputes with ticketing providers

6. User Content

6.1 Your Content

You may be able to submit, post, or share content through our Services ("User Content"), including reviews, comments, photos, and event submissions. You retain ownership of your User Content, but by posting it, you grant us:

• A worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with our Services

"LocalFYI," our logo, and other marks are trademarks of LocalFYI. You may not use our trademarks without our prior written consent. All other trademarks appearing on our Services are the property of their respective owners.

• Your violation of any applicable law or third-party rights

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@localfyi.com to attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days.

12.2 Binding Arbitration

If we cannot resolve the dispute informally, you and LocalFYI agree to resolve any disputes through binding arbitration rather than in court, except that either party may bring claims in small claims court if eligible. Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for intellectual property infringement or other urgent matters.

13. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
